Terms & Conditions for Vendor, Attendee, and Presentation Participation at the Wealth & Wellness Expo

Event Overview: a. The Wealth and Wellness Expo (hereinafter referred to as "the Expo") is an event organized by [Event Organizer] to promote wealth and wellness products and services. b. By applying and participating as a vendor at the Expo, you (hereinafter referred to as "the Vendor") agree to abide by the terms and conditions outlined below.

Vendor Requirements: a. The Vendor must provide accurate and complete information during the registration process. By submitting the Vendor Form, all vendors agree to these terms and conditions. b. The Vendor must be legally authorized to operate and provide the products or services they offer at the Expo. c. The Vendor must comply with all local, state, and federal laws and regulations concerning their products, services, permits, licenses, insurance, and any other legal requirements.

Vendor Fees: a. The Vendor agrees to pay the designated booth fee as specified by [Event Organizer] upon acceptance of their application. b. Late fees may be applied if payment is not received by the specified deadline. The late fee amount and terms will be provided in the payment instructions. c. It is to the (Event Organizer) discretion to allow vendors to attend any event without full payment of the invoice prior to the date of the event. If the (Event Organizer) allows a vendor to attend an event at any location without full payment of the invoice prior, the vendor will be charged 25% above regular booth fee, the day of the event. d. Each invoice requires added square charges to cover the transaction fees.

Cancellation and No-Show Policy: a. Cancellation by the Vendor: i. If the Vendor wishes to cancel their participation, written notice must be provided to [Event Organizer] at least [14 days] days before the Friday before the Expo start date. ii. If the Vendor cancels within the specified timeframe, a refund may be provided, subject to a cancellation fee as determined by [Event Organizer]. iii. Cancellations made after the specified deadline may result in the forfeiture of the booth fee and added "late cancellation" fees. b. No-Show Policy: i. If the Vendor fails to attend the Expo without prior notice, the booth fee will be forfeited, and no refund will be provided.

Insurance and Liability: a. The Vendor is responsible for obtaining and maintaining appropriate insurance coverage for their products, services, personnel, and booth during the Expo. b. [Event Organizer] and its affiliates, agents, representatives, and employees shall not be held liable for any loss, damage, injury, or harm caused by the Vendor's products, services, personnel, or booth before, during, or after the Expo. c. The Vendor agrees to indemnify and hold [Event Organizer] harmless from any claims, damages, losses, liabilities, costs, or expenses (including attorney's fees) arising from the Vendor's participation at the Expo.

Presenters such as speeches, demonstrations, showcasing: a. The Event is organized by [Event Organizer], and it is at their sole discretion whether to charge a fee for presentations at the Event. Event Organizer reserves the right to determine whether slot will be subject to a fee, and such decisions are final. b. The allocation of time slots for presenters is at the discretion of the Event Organizer. Presenters do not have the inherent right to select their preferred time slots. Event Organizer will make every effort to accommodate presenter preferences but reserves the right to assign time slots based on the overall event schedule and other logistical considerations. c. By agreeing to present at the Event, you commit to fulfilling your speaking engagement as scheduled by Event Organizer verbally or in writing. It is your responsibility to be present and ready to go at your assigned time slot unless otherwise agreed upon with Event Organizer. Being late to designated time slot may result in time lost to present and is not guaranteed that there will be more time or another chance to present. d. Event Organizer reserves the right to review and approve the content of your presentation or speech before the event. Any content that is deemed inappropriate, offensive, or in violation of event guidelines may be subject to modification or exclusion from the program. e. By presenting at the Event, you grant Event Organizer the right to record, reproduce, and distribute your presentation or speech for promotional and educational purposes. You retain all rights to your intellectual property, and Event Organizer will not use your content in any way that violates those rights. f. Event Organizer is not responsible for providing any equipment presenter might need. It is the responsibility of the presenter to acquire all equipment needed for presentation with written approval by Event Organizer. g. Event Organizer is not responsible for any loss or damage to personal belongings or equipment brought by presenter to the Event. Presenters are responsible for their own insurance coverage, if needed, for their equipment and materials.

Vendor List: a. The Vendor List is made available by Event Organizer for informational purposes only. Event Organizer reserves the right to modify, update, or remove the Vendor List, in whole or in part, at any time and without prior notice. b. Event Organizer provides the Vendor List "as is" and does not make any warranties, representations, or guarantees regarding the accuracy, completeness, or suitability of the information provided in the Vendor List. c. Organization may update, add, or remove vendors from the Vendor List at its sole discretion. Organization is not obligated to notify users of such changes. d. Users of the Vendor List are solely responsible for evaluating and selecting vendors based on their specific needs and requirements. Organization does not endorse or recommend any specific vendor listed in the Vendor List, and users are encouraged to conduct their own due diligence before entering into any agreements or transactions with vendors. e. In no event shall Event Organizer be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to, loss of profits, data, or business interruption, arising out of or in connection with the use of the Vendor List or reliance on the information contained therein.

Advertising: a. Vendors are encouraged to actively promote the Event within their respective networks and through their marketing channels. However, all promotional materials and messages must accurately represent the Event and adhere to ethical marketing practices. b. Vendors shall not make false or misleading statements about the Event, Wealth & Wellness Expo, or any associated entities or individuals. All information shared in promotional materials, advertisements, or communications must be accurate and truthful. c. Vendors shall respect the intellectual property rights, trademarks, and branding of the Event, Wealth & Wellness Expo, and other participants. Unauthorized use of logos, branding, or content is prohibited. d. By attending and participating in the Event, each vendor agrees not to engage in any form of advertising, social media posting, or communication that portrays the Event, Wealth & Wellness Expo, or any associated entities or individuals in a negative or harmful light. Vendors shall refrain from posting or using any language, imagery, or content that could reasonably be interpreted as disparaging, defamatory, or harmful. e. Failure to comply with these Terms may result in the removal of the vendor, attendee, volunteer, or participant from the Event without refund, as well as potential legal action if there is harm to the reputation or interests of the Event, Wealth & Wellness Expo, or any associated entities or individuals.

Community Standards: a. All community members, including vendors, are expected to treat each other with respect and kindness. Discriminatory, offensive, or disrespectful behavior towards others will not be tolerated. b. Vendors shall not engage in any actions or behaviors intended to harm other vendors, customers, or the community as a whole. This includes refraining from any form of slander, defamation, or harmful gossip. c. Vendors are expected to represent their businesses and brands professionally at all times. This includes maintaining a clean and organized booth or space, adhering to professional standards of behavior, and presenting products or services with integrity. d. Vendors shall do their best to uphold the trust and goodwill of the community. Honesty, transparency, and ethical business practices are encouraged. e. Vendors are encouraged to support their fellow vendors and the community as a whole. This can include helping others in times of need, collaborating, and fostering a sense of community spirit. f. Any vendor found to be in violation of this Code of Conduct and Terms, including poor customer service, disrespectful behavior, or harming the community's reputation, may be banned from future community events without refund. g. These Terms shall be governed by and construed in accordance with the laws of Tennessee. Any legal action or proceeding arising out of or relating to these Terms or your participation in the community shall be brought exclusively in the courts located within Tennessee, and you consent to the jurisdiction of such courts.

Event Organizer's role as a third party: a. The Event Organizer, [Event Organizer], acts as a facilitator of community events and represents vendors solely as an event organizer. The Event Organizer does not assume responsibility for the quality, suitability, or customer service of vendor products and services. While the Event Organizer holds the utmost trust in the vendors it collaborates with and strives to curate high-quality events, it is important to note that each vendor is an independent entity responsible for their own products, services, and customer interactions. b. The Event Organizer does not provide any warranty or guarantee regarding the quality or performance of vendor products and services. Any issues or disputes related to vendor offerings should be addressed directly with the respective vendor. c. The Event Organizer may vet vendors and select them based on specific criteria, but this does not constitute an endorsement or guarantee of their products or services. Vendors are selected based on the information available at the time of selection, and the Event Organizer cannot be held responsible for any changes or developments that may occur after selection.

General: a. These terms and conditions constitute the entire agreement between the Vendor and [Event Organizer] regarding the Expo and supersede any prior agreements or understandings. b. Any modifications or amendments to these terms and conditions must be made in writing and agreed upon by both parties. c. These terms and conditions shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. d. The invalidity or unenforceability of any provision in these terms and conditions shall not affect the validity or enforceability of the remaining provisions. e. The Vendor acknowledges that they have read, understood, and agree to be bound by these terms and conditions. e. Event Organizer reserves the right to modify these terms and conditions at any time, and such modifications will be effective immediately upon posting on the Event website or other communication channels. f. If you do not agree with these terms and conditions, please do not confirm your participation in any way.
By participating as a vendor, attendee, or presenter at any of the shows organized by [Event Organizer] at any of their locations, the vendor, attendee, or presenter signifies their acceptance and agreement to the above and below terms and conditions.
